When will I need to go to a Public Notary?

This service is required when incorporating a company, modifying its structure, entering into agreements between shareholders, or carrying out a purchase and sale of shares. Notarial intervention ensures that the acts carried out comply with the law and can be registered in the Commercial Registry.

What documentation will the Public Notary require?

  • Identity document of the representative and NIE (Foreigner Identification Number) if the representative is a foreigner.
  • Deed of appointment of the director or power of attorney if the representation is voluntary.
  • Certificate of ownership of the company.

Yes, the formation of an S.L. must be formalized by public deed before a Public Notary.

Generally, the deadline is 15 business days from the signature of the deed, which is approximately 3 weeks.

The company may carry out not only the activities strictly included in the corporate object, but also other complementary or auxiliary activities, including activities that are considered "neutral" and "multipurpose," such as signing a loan or guarantee, although activities that are inconsistent with the corporate object are always excluded.
